TERMS AND CONDITIONS FOR ACCOMMODATION CONTRACTS(Korea hotel)

Scope of Application

Article 1.

  1. Contracts for accommodation and related agreements entered into between this hotel and the guest to be accommodated shall be subject to these terms and conditions. Any particulars not provided for herein `shall be governed by laws and regulations and/or generally accepted practices.
  2. In cases in which the hotel has entered into a special contract with the guest insofar as this special contract does not violate any laws, regulations, or generally accepted practices, notwithstanding the preceding paragraph, the special contract shall take precedence over the provisions of these terms and conditions.

Application for Accommodation Contracts

Article 2.

  1. A guest who intends to make an application for an accommodation contract with the hotel shall notify the hotel of the following particulars:
    1. Name of the guest(s);
    2. Contact information;
    3. Dates of accommodation and estimated time of arrival; and;
    4. Any other particulars deemed necessary by the hotel.
  2. In cases in which the guest requests, during his or her stay, extension of the accommodation beyond the date in subparagraph ⅲ of Paragraph 1, such request shall be regarded as an application for a new accommodation contract at the time such request is made.

Conclusion of Accommodation Contracts, etc.

Article 3.

  1. A contract for accommodation shall be deemed to have been concluded when the hotel has duly accepted the application as stipulated in Article 2.
    However, the same shall not apply where it has been proved that the hotel has not accepted the application.
  2. If an accommodation contract is established under the provisions of the preceding clause, the guest must pay the lodging fee determined by this hotel within the limit of the basic accommodation charge for the duration of the stay, by the date designated by this hotel for payment (based on the basic accommodation charge in Appendix able 1).
  3. The deposit shall be used: first, for the total accommodation charges to be paid by the Guest; second, for the cancellation charges under Article 6; and third, for the reparations under Article 17 as applicable. The remainder, if any, shall be refunded at the time of the payment of the accommodation charges as stated in Article 11.
  4. When the guest has failed to pay the deposit by the date as stipulated in Paragraph 2, the hotel shall treat the accommodation contract as invalid. However, the same shall apply only in cases in which the guest is thus informed by the hotel when the period of payment of the deposit is specified.

Refusal of Accommodation Contracts

Article 4.

  1. The hotel may refuse to accept the conclusion of an accommodation contract to a party under any of the following conditions:
    1. When the application for accommodation does not conform to the provisions of these terms and conditions;
    2. When the hotel is fully booked and no room is available;
    3. When the party seeking accommodation is deemed liable to conduct itself in a manner that will contravene laws or act against the public order or morality with regard to its accommodation;
    4. When the party seeking accommodation presents danger of engaging in violence or intimidation, making threat or unreasonable demands, gambling, possessing or using prohibited drugs, or conducting itself in a manner that would create a disturbance that would annoy other guests, contravene laws, or act against public order or standards of decency, in regard to its accommodation in the hotel;
    5. When the party seeking accommodation can be clearly seen to have an infectious disease;
    6. When the hotel is requested to assume an unreasonable burden with regard to the party's accommodation;
    7. When the hotel is unable to provide accommodation due to natural calamities, malfunction of the facilities, and/or for other unavoidable reasons; and/or
    8. When the party is deemed liable to conduct and/or have conducted itself in a manner that would create a disturbance that would annoy other guests.
    9. When the person who intends to stay is a minor (under 19 years old) and cannot submit the necessary documents for accommodation.

Right to Cancel Accommodation Contracts by the Guest

Article 5.

  1. The guest is entitled to cancel the accommodation contract by so notifying the hotel.
  2. If the guest has cancelled the accommodation contract in whole or in part for reasons for which the guest is liable (except when the hotel has requested payment of the deposit during the specified period as prescribed in Paragraph 2 of Article 3, and the guest has cancelled before payment), the guest shall pay cancellation charges as listed in Appendix Table 2. However, when a special contract as prescribed in Paragraph 1 of Article 4 has been concluded, the same shall apply only when the guest has been informed of the obligation to pay the cancellation charges in case of cancellation by the guest.
  3. If the guest does not appear by the expected time of arrival without giving advance notice, the hotel may regard the accommodation contract as being cancelled by the guest.

Right to Cancel Accommodation Contracts by the Hotel

Article 6.

  1. The hotel may cancel the accommodation contract under any of the following circumstances:
    1. When the guest is deemed to present a danger of engaging in violence or intimidation, making threats or unreasonable demands, gambling, possessing or using prohibited drugs, or conducting himself or herself in a manner that would create a disturbance that would annoy other guests or contravene laws or act against public order or standards of decency, with regard to his or her accommodation or in the hotel;
    2. When the guest has or is suspected of having an infectious disease;
    3. When the hotel is requested to assume an unreasonable burden with regard to the guest's accommodation;
    4. When the hotel is unable to provide accommodation due to natural calamities and/or other causes of force majeure;
    5. When the guest is deemed to present a danger of causing great annoyance to other guests or has conducted himself or herself in a manner that has created a disturbance that has annoyed other guests; and/or
    6. When the guest does not refrain from prohibited actions such as smoking in bed, damaging firefighting facilities, and contravening other prohibitions of the use regulations stipulated by the hotel (restricted to particulars deemed necessary in order to avoid the causing of fires).
  2. If the hotel has cancelled the accommodation contract in accordance with Paragraph 1, the hotel shall not be entitled to charge the guest for any of the services in the future of the contractual period that the guest has not received.

Registration

Article 7.

  1. The guest shall register the following particulars at the front desk of the hotel on the day of checking in to the hotel:
    1. Name, age, sex, address, and occupation of the guest(s);
    2. Nationality, passport number, port and date of entry to Korea for foreign nationals who do not have resident registration in Korea (and a copy of the passport will be made for confirmation);
    3. Date and estimated time of departure; and
    4. Other particulars deemed necessary by the hotel.
  2. If the guest intends to pay for his accommodation charges prescribed in Article 11 by any means other than Korean currency, such as by using hotel vouchers or credit cards, such credentials shall be shown in advance at the time of the registration prescribed in Paragraph 1.

Guest Room Occupancy Hours

Article 8.

  1. The guest is entitled to occupy the contracted guestroom in the hotel from 4 p.m. to 10 a.m. the next morning.
  2. The hotel may, notwithstanding the provisions prescribed in Paragraph 1, permit the guest to occupy the room beyond the time prescribed in the same paragraph. In such case, extra charges shall be paid as follows:
    1. Until 2 p.m.: ₩11,000 (including tax) per hour; and
    2. After 2 p.m.: room charge in full.

Observance of Use Regulations

Article 9.

  1. The guest shall observe the use regulations established by the hotel, which are posted on the premises of the hotel.

Business Hours

Article 10.

  1. The business hours of the main facilities, etc., of the hotel are as follows in principle, and those of other facilities, etc., shall be outlined in detail in provided brochures, with notices displayed in each relevant location, service directories in guestrooms, and elsewhere.
    1. Service hours of the front desk
      1. a. Closing time for entrance and lobby: None
      2. b. Front desk service:24 hours
  2. The service hours specified in Paragraph 1 are subject to change for unavoidable reasons. In such cases, guests shall be notified by appropriate means.

Payment of Accommodation Charges

Article 11.

  1. The breakdown and method of calculation of accommodation charges, etc., that the guest shall pay are listed in Appendix Table 1.
  2. Accommodation charges, etc. as stated in Paragraph 1 shall be paid for with Korean currency or by any means other than Korean currency, such as hotel vouchers or credit cards recognized by the hotel, at the front desk at the time of the guest’s arrival.
  3. Accommodation charges shall be paid even if the guest voluntarily fails to utilize the accommodation facilities that are provided by the hotel and are at his or her disposal.

Liabilities of the Hotel

Article 12.

  1. The hotel shall compensate the guest for damage if the hotel has caused damage to the guest in the fulfillment or the nonfulfillment of the accommodation contract and/or related agreements. However, the same shall not apply in cases in which such damage has been caused for reasons for which the hotel is not liable.

Handling When Unable to Provide Contracted Rooms

Article 13.

  1. The hotel shall, when it is unable to provide contracted rooms, arrange accommodation of the same standard elsewhere for the guest insofar as is practicable with the consent of the guest.

Handling of Deposited Articles

Article 14.

  1. The hotel shall compensate the guest for damage when loss, breakage, or other damage is caused to goods, cash, or valuables deposited at the front desk by the guest, except in cases in which this has occurred for reasons of force majeure. However, with regard to cash and valuables, when the guest has not reported the kind and value thereof, the hotel shall compensate the guest up to a total of 500,000 won.
  2. The hotel shall not compensate the guest for damage when loss, breakage, or other damage is caused, unless it is otherwise determined to be the result of intention or negligence on the part of the hotel, to goods, cash, or valuables that are brought onto the premises of the hotel by the guest but are not deposited at the front desk.
  3. The Hotel will not keep valuables or cash in the event a Guest wishes to deposit articles at the front desk after checkout. We may also refuse to keep other articles due to their nature, storage space and other reasons. Please note that the following conditions apply when the Hotel keeps articles belonging to a Guest.
    1. The hotel will store the articles only on the day of check-out.
    2. For articles that are not picked up even after check-out day has passed, the maximum storage period at hotel is up to one month.
    3. In the meantime, the Hotel will try to contact the Guest using the contact details registered under Article 7 (Registration).
    4. If the hotel cannot establish contact with the Guest and the Guest does not request the return of the articles within one month, the hotel will consider that the Guest has waived their rights, and will dispose of them. The items will be reported and delivered to the nearest police station as lost items. However, if the nearby police station refuses to receive the items, the hotel will dispose of them or take other measures.
    5. The Hotel may charge for any costs incurred in contacting the Guest after the due date or returning and disposing of the articles.

Custody of Baggage and/or Belongings of the Guest

Article 15.

  1. When the guest’s luggage is brought to the hotel before arrival (on the day of or one day prior to their stay only), the hotel shall be liable for keeping it only if a request to do so has been accepted by the hotel. The luggage shall be handed over to the guest at the front desk at the time of checking in.
  2. When the guest unintentionally leaves their baggage or personal belongings at the hotel after check-out, when there is no instruction of disposal by the owner, when the owner of the items is unclear, or the owner does not retrieve their items, we will store them at the hotel for 7 days including the date of discovery. Unclaimed valuables will be reported to the nearest police station after that. In addition, the hotel will arbitrarily dispose of food, magazines and other similar waste and may charge the guest for the cost of disposal.

Liability with Regard to Parking

Article 16.

  1. The hotel does not guarantee parking for all guests. Depending on the branch, parking may not be available, and if available, additional charges may apply at the time of parking.
  2. The hotel shall not be liable for the induction of the vehicle and the custody of the vehicle of the guest when the guest utilizes the parking lot on the premises of the hotel, as it shall be considered that the hotel simply offers the space for parking. regardless of whether or not a car key has been deposited at the hotel. However, the hotel shall compensate the guest for damage caused intentionally or through negligence on the part of the hotel with regard to management of the parking lot.

Liability of the Guest

Article 17.

  1. The guest shall compensate the hotel for damages caused intentionally or through negligence on the part of the guest.

Notes

  1. The percentage signifies the rate of cancellation charge relative to the basic accommodation charge.
  2. When the number of days contracted is reduced, the cancellation charge for the first day shall be paid by the guest regardless of how many days have been reduced from the number of days originally contracted.

Terms of Use Agreement(Korea hotel)

  1. Please do not bring into the hotel anything that might annoy other guests, or any of the following items:
    1. Pets, including birds and other animals, with the exception of assistance dogs;
    2. Anything emitting an offensive odor;
    3. Anything in considerably large volume;
    4. Flammable objects, explosives, or volatile oils; or
    5. Illegal firearms, swords, or drugs.
  2. Please do not gamble or act in disorderly or contrary to public order, or behave in ways or use language that would annoy other guests in the hotel.
  3. Any guest who stays at our hotel for longer than 8 nights in a row will be asked to move to another room periodically for the sake of sanitation.
  4. Please do not distribute advertisements or trade publications, or sell goods within the hotel or on the premises, without our permission.
  5. Please do not take photographs for commercial purposes or do anything that could cause annoyance to other guests within the hotel or on the premises without our permission.
  6. Please do not use any facilities or equipment in the hotel beyond the designated location or purpose thereof.
  7. Please do not significantly alter or change the condition of any facilities or equipment in the hotel through your use.

Notes

  • Please refrain from going out of your room in nightwear or slippers.
  • Please refrain from smoking in bed, as it may cause a fire.
  • When you use TV, please pay attention to the volume so as not annoy other guests.

Toyoko Inn Co., Ltd. (hereinafter referred to as "our company") uses the system.'s terms of service (hereinafter referred to as "this agreement") to use the Internet reservation system (hereinafter "this system" I will decide the street.

Article 1

The remaining room indication in this system is registered for each accommodation facility voluntarily. The remaining room status in this system may differ from the actual remaining room status.
Article 5
Establishment of accommodation reservation
The establishment of an accommodation reservation will be made when "Reservation Reservation Completed" is displayed on the browser and the corresponding reservation is displayed on the "Reservation Confirmation" screen.
Article 6
Change / cancel reservation of accommodation reservation
In case of changing / canceling the reservation of accommodation by this system, we will change / cancel in this system. However, please note that it may not be possible to reserve accommodation as it is already fully booked.
Please cancel your reservation if you can not change the reservation contents from this system, please reserve your room again.
If the change / cancellation in this system is outside the reception hours, otherwise If you can not use this system please be sure to contact the relevant accommodation directly.
The cancellation fee is based on the content of "penalty fee" stipulated in the accommodation agreement.
Article 7
payment
The total fee for accommodation reservation established by this system will be displayed on the browser when the reservation of accommodation is established.
When paying guests check-in at the accommodation facility, pay the accommodation fee in the manner specified by the accommodation facility.
Article 8
End of use
Procedure is unnecessary at the end of use of this system.
If you wish to delete the registered data of the user, please delete "account" on your own system on this system.
Article 9
Prohibited matter
For the use of this system, the user's next act is prohibited.
Act of registering false contents at the time of account registration.
Act of making false or improper application at the time of reservation reservation application. Or act of not staying without permission without permission.
Act of registering an account and reserving accommodation in place of others without consent of the person himself / herself.
Act of infringing and damaging other users or third parties of their rights, or acts that fear thereof.

Acts that violate public order and morals and laws, or acts that fear them.
Others When we judge that our system is inappropriate for use of this system.
Article 10
Delete reservation of accommodation
Notwithstanding the provisions of Article 5, if we do not arrive even if the user has arrived at the scheduled arrival time and can not confirm the visit, or if we judge that the user violated Article 9 or this agreement, You may cancel your reservation without prior notice.
Article 11
Deactivate account registration
In the event that we judge that the user violated Article 9 or this agreement, we may cancel the accommodation reservation or account registration without prior notice.
Article 12
Handling of personal information
In providing this system, we will never disclose personal information and usage history of the user we knew to third parties unless it falls under the following. When there is a request for disclosure from a public agency. When the consent of the user himself / herself is obtained. When meeting the conditions stipulated by the Personal Information Protection Act.
In case of outsourcing company exchanging confidential contract concerning handling of personal information.
When an unavoidable situation occurs that requires urgent response, such as the risk of the user's life, the body may be harmed.
We may use user's information for investigation of usage trend of this system, confirmation / survey for user support, promotion / marketing purpose.
Article 13
System shutdown
We may temporarily suspend this system at the time of maintenance check of the server and when we are forced to stop the system urgently, without prior notice.
Article 14
Disclaimer
We do not assume the responsibility of the user in using this system even if damage to the user and the third party concerning the following items occurs.
When a user gives trouble, damage, etc. to a third party by using this system. Something wrong with reservation failure due to mistake of user's operation input etc.
When this system does not operate normally due to the situation in Article 12 or the Internet environment condition of the user, communication circumstances, etc.
There are reasons attributable to the responsibility of the user or a third party, such as cancellation of accommodation reservation by the user or a third party.
Article 15
Others
In using this system, in case of problems with matters not contained in this contract, we discuss and resolve in good faith between the parties.
If the dispute which can not be resolved by the discussion between the parties concerning the use of this system occurs, it shall be resolved in accordance with the laws of Japan at the jurisdictional court of our company's location.
This agreement may be changed without prior notice.

  3. Acquisition of Personal Information
    We acquire the following personal information from the customer to the extent necessary for the purpose of use set forth in the preceding paragraph.
    1. Basic information (address, name, gender, date of birth, nationality, passport number, e-mail address, phone number, facsimile number, postal mail address, etc.)
    2. Additional information (occupation, work location information (company name, address, telephone number, department, position, etc.))
    3. Payment information (credit card number, bank account information, invoice address, receipt address, etc.)
    4. Service usage information we provide (accommodation history, facility usage, product purchase status, etc.)

    10. Count of breath and heartbeats, measurement of body movement and pressure on bed while customers are sleeping (only for hotels that offer sleeping data providing service)

  4. Management of Personal Information
    We have established a management system for personal information in accordance with the actual conditions of our business operations, and are committed to keep customers' personal information accurate and up-to-date to the extent necessary for achieving the purpose of use described in Chapter 2. We take necessary and appropriate measures for the safety management of personal information, such as the prevention of leakage, loss or damage of such personal information. In addition, we strive to raise employee awareness by thoroughly conducting in-house education on protection of personal information so that all employees engaged in the work of handling customers’ personal information can properly handle such information.
  5. Provision of Personal Information to Third Parties
    We will not disclose or provide your personal information to third parties except in the following cases:

  6. Outsourcing of the duties
    Notwithstanding the provisions of the preceding paragraph, we may consign part of business operation to provide customers with products and services to consignee and provide customers’ personal information within the scope necessary for achieving the purpose of us.
  7. Transfer of Personal Information to Japan and Overseas
    Pursuant to the provisions in the two preceding paragraphs, we will take necessary and appropriate measures in accordance with the laws and regulations of the transferring countries when providing customer personal information between our Group companies or to the consignee.
  8. Anonymised data (applies to ⑩ and ⑪ described in point 3 above)
    We will take appropriate measures to ensure that it is not possible to identify specific individuals or to restore the original personal data. The creation of anonymised data and its provision to third parties will be carried out to the extent permitted by law.

  8. 개인영상정보의 안전성 확보조치

Terms of Use of Sleep PJ

Chapter 1   General

Article 1 : (Application)
These Terms of Use of Sleep PJ (hereinafter referred to as "Terms") set forth the terms and conditions (including, but not limited to, the terms and conditions of use, etc.) relating to the use of the "Sleep PJ" services (hereinafter referred to as "Services") operated and provided by Toyoko Inn Co., Ltd. (hereinafter referred to as "Toyoko Inn") and apply to all customers who use the Services.
Article 2 : (Objectives and Purposes)
The Services allow a customer staying at a hotel of Toyoko Inn to obtain the results of the analysis and visualization of the sleep state of the customer on the day of his/her stay through Toyoko Inn’s application, and Toyoko Inn provides the Services in accordance with these Terms. The Services may be provided only at certain hotels of Toyoko Inn.
Article 3 : (Terms)
  1. Toyoko Inn will provide the Services in compliance with applicable laws and regulations.
  2. In using the Services, in addition to these Terms, various terms and conditions, terms, precautions for use, guidelines, etc. specified by Toyoko Inn (including any notices given to users by Toyoko Inn from time to time; hereinafter collectively referred to as the “Various Terms" and, together with these Terms, collectively referred to as “Terms, etc.”) shall apply together with these Terms.
  3. Toyoko Inn may amend these Terms, etc. in accordance with laws and regulations without the customer’s consent. In such a case, the content and terms of provision of the Services shall be in accordance with the amended Terms, etc.
  4. Customers will be notified of amendments to these Terms and other important matters, etc. concerning the Services by way of postings made on Toyoko Inn's official website or the dedicated application provided by Toyoko Inn. However, any amendment to these Terms shall become effective upon the arrival of the relevant effective date after the content of the amended Terms and the effective date of such amendments are made known in advance on the relevant website or application.
Article 4 : (Application for Use)
  1. The Services are for Toyoko Inn Club card members only. Some services are also available to customers who have an official Toyoko Inn account.
  2. A customer who wishes to use the Services must agree to these Terms in advance and may not use the Services without agreeing to these Terms. The customer must agree to these Terms at the time of booking or checking into a certain hotel where the Services are available. An application for the use of the Services shall be completed when the customer has agreed to these Terms and has completed checking into a hotel that provides the Services.
  3. If Toyoko Inn determines that a customer who has applied to use the Services falls under any of the following items, Toyoko Inn may refuse to provide the Services to such customer without assuming any responsibility.
    1. If the customer has committed any act in the past that violates or is likely to violate these Terms, etc.;
    2. If the customer has violated, is in violation of, or is likely to violate any of terms of use in using any service provided by Toyoko Inn other than the Services;
    3. If the customer is an Antisocial Force (meaning, collectively, an organized crime group (meaning an organized crime group as prescribed in Article 2, Item 2 of the Act on Prevention of Unjust Acts by Organized Crime Group Members (Act No. 77 of 1991)), an organized crime group member (meaning an organized crime group member as prescribed in Article 2, Item 6 of said Act), a company related to an organized crime group, a corporate racketeer, a rogue person or group proclaiming to be a social activist, a rogue person or group proclaiming to be a political activist, an organized special intellectual crime group, and any other person equivalent thereto as well as a person who has a close relationship with such persons.);
    4. If the provision of the Services by Toyoko Inn to such customer interferes with the performance of Toyoko Inn's business; or
    5. In any other cases Toyoko Inn deems inappropriate.

Chapter 2   Description of the Services

Article 5 : (Composition of the Services)
The Services shall consist of the services set forth in the following Items:
  1. Monitoring of the customer's own sleep state
    The customer can learn about his/her own sleep state from the results of the analysis of data measured by “Sleep Monitor 02", which is a sleep measurement device installed in the bedding of the guest room (hereinafter referred to as "Sleep Monitor").
  2. Various content services aimed at improving sleep and health
    Based on the sleep state of the customer described in the preceding item, Toyoko Inn will provide various content aimed at improving sleep and health.
  3. Any other services specified by Toyoko Inn
Article 6 : (Required Content)
The customer is required to download the "Hotel Toyoko Inn Official App" (hereinafter referred to as the "Toyoko Inn App") in order to receive the services described in the preceding article.

Chapter 3   Data Handling

Article 7 : (Measuring and Generating Data)
  1. The Sleep Monitor built into the bedding installed in the guest room and sold by KDDI CORPORATION (hereinafter referred to as "KDDI") measures data such as the heart rate and body pressure of the customer while he/she is sleeping. Measured data, Sleep Monitor identifiers (hereinafter referred to as "Device ID"), authentication identifiers and log information (hereinafter collectively referred to as "Measured Data, etc.") are sent to facilities in Japan managed by KDDI. The Measured Data, etc. sent to KDDI will not include information that can identify an individual.
  2. KDDI creates data showing sleep state based on the Measured Data, etc. (hereinafter collectively referred to as "Sleep Data"), analyzes sleep state using the Sleep Data, and sends to Toyoko Inn the analysis results, which are linked to the Device ID and authentication identifier of the Sleep Monitor.
  3. In the Services, Toyoko Inn links the results in the preceding paragraph sent from KDDI to the customer's identification information and displays such results on its "Toyoko Inn App", and only Toyoko Inn retains information that identifies the customer, Measured Data, etc. and Sleep Data. KDDI will not retain any information that can identify the customer.
Article 8 : (Data Use and Protection)
  1. Toyoko Inn and KDDI will handle any information related to the customer obtained in providing the Services in an appropriate manner in accordance with the following terms and policies:

  2. Toyoko Inn may use the information on the customer, Measured Data, etc., Sleep Data obtained through the provision of the Services and the results of the analysis and processing thereof, after anonymizing the same so as not to identify the customer, for the purposes specified in each of the following items and to the extent necessary for the execution of Toyoko Inn’s business:
    1. Effectiveness evaluation, function improvement and quality improvement of the various functions of the Services and the services provided mainly by Toyoko Inn;
    2. Measurement and analysis of the usage of the Services and the services provided mainly by Toyoko Inn;
    3. Investigation and response to failures and defects in the Services and the services provided mainly by Toyoko Inn; and
    4. Statistical analysis for the purpose of developing new functions or marketing activities for the Services and the services provided mainly by Toyoko Inn, or development, research, and service improvement of new services.
  3. Toyoko Inn may disclose to its contractors information on the customer, Measured Data, etc., Sleep Data obtained through the provision of the Services and the results of the analysis and processing thereof, and anonymized information thereof to the extent necessary for the purposes set forth in the preceding paragraph.

Chapter 4   General Terms

Article 9 : (Outsourcing)
Toyoko Inn may outsource part of the Services to a third party.
Article 10 : (Discontinuation, Suspension, etc. of Provision of the Services)
  1. Toyoko Inn does not undertake to provide the Services on a permanent basis and may change all or part of the content of the Services or discontinue providing the Services without giving prior notice of or disseminating the same to the customers.
  2. Toyoko Inn may suspend or temporarily cease the provision of all or part of the Services without the consent of the customer in any of the following cases:
    1. If there is any malfunction of devices such as the Sleep Monitor;
    2. If there is any failure in the system of the Services of Toyoko Inn and KDDI;
    3. If the provision of the Services becomes impossible or difficult due to force majeure such as a fire, power outage, natural disaster or other causes not attributable to Toyoko Inn;
    4. If Toyoko Inn determines that the provision of the Services will interfere with the execution of Toyoko Inn’s business; or
    5. In any other cases where Toyoko Inn determines that it is necessary to suspend or temporarily cease the provision of the Services based on reasonable grounds.
  3. Toyoko Inn will not be liable to customers or any third party for any change in the content of the Services or the discontinuation, suspension, or cessation of the Services under the preceding two paragraphs.
Article 11 : (Termination of Use of the Services)
  1. If the customer cancels his/her Toyoko Inn Club Card membership, he/she will not be able to use the Services.
  2. If Toyoko Inn determines that the customer falls under any of the following items, Toyoko Inn may terminate the use of the Services by such customer and revoke such customer’s eligibility to use the Services without requiring any procedures such as notice or demand:
    1. If the content of the application for use and other customer information provided to Toyoko Inn are found to be false, incomplete, or likely to be false or incomplete;
    2. If the customer violates or is likely to violate the provisions of these Terms, etc., and fails to correct such violation despite being requested to do so by Toyoko Inn;
    3. If the customer is found to be an Antisocial Force;
    4. In any other cases where he/she is deemed to be inappropriate as a customer by Toyoko Inn.
Article 12 : (Prohibited Acts)
The customer shall not engage in any acts set forth in the following items:
  1. Any act that causes a third party other than the customer to use or attempt to use the Services;
  2. Any act of using the Services for profit;
  3. Any act that requires the provision of services beyond the content described in these Terms, etc., or any act similar thereto;
  4. Any act that defames Toyoko Inn or any person using the Services;
  5. Any act that damages or is likely to damage the reputation, character, etc. of Toyoko Inn or any person using the Services;
  6. Any act that infringes or may infringe on copyrights, intellectual property rights or other rights held by Toyoko Inn or any person who uses the Services;
  7. Any act that causes or is likely to cause Toyoko Inn or any person who uses the Services to suffer a disadvantage or damage;
  8. Any act that interferes with or disrupts the use or enjoyment of the Services by any other customer of the Services or the provision of the Services by Toyoko Inn;
  9. Any act that is contrary to public order and morals, including crime and anti-social acts or any act related thereto;
  10. Any act that violates or is likely to violate laws and regulations; or
  11. Any other acts Toyoko Inn deems inappropriate.
Article 13 : (Compensation for Damage)
Even if the customer suffers any damage due to the use of the Services or inability to use the Services, Toyoko Inn will not compensate for such damage. However, if the damage is due to Toyoko Inn's willful misconduct or gross negligence, Toyoko Inn will compensate the customer for such damage up to the amount of fees incurred by the customer to receive the Services.
Article 14 : (Matters to Note)
  1. The Services do not constitute medical treatment or the practice of medicine
  2. Since the Sleep Monitor is not a medical device, it cannot be used for diagnosis, treatment, cure or prevention.
  3. Toyoko Inn and KDDI do not warrant the safety, accuracy, reliability, or usefulness of the Services, or the suitability, etc. of the Services for any particular purpose intended by the customer.
  4. Toyoko Inn and KDDI will not be liable in any way except as set forth in the proviso to the preceding article.
  5. Except as set forth in the preceding article, Toyoko Inn will not be responsible for any objections, complaints and claims, etc. beyond the scope set forth in these Terms, etc.
Article 15 : (Severability)
Even if any provision of these Terms, etc. or any part thereof is determined to be invalid or unenforceable based on laws and regulations, the remaining provisions of these Terms, etc. shall continue to be valid.
Article 16 : (No Assignment)
The customer shall not assign all or any part of his/her rights and obligations under these Terms, etc. to a third party or provide them as security for himself/herself or a third party.
Article 17 : (Court of Competent Jurisdiction)
The Tokyo District Court shall be the exclusive court of jurisdiction in the first instance for any litigation arising in connection with the Services.
